Terms of Service

Welcome to KaraoClip. These Terms of Service (“Terms”) are the agreement between you and KaraoClip.com (“KaraoClip”, “we”, “us”) for using our service.

KaraoClip is a private platform for creating collaborative video greetings for celebrations — birthdays, weddings, bar and bat mitzvahs, new babies, and other special moments. It is not a public social network or a public music service.

By using KaraoClip, you agree to these Terms. If you do not agree, please do not use the service. Please also read our Privacy Policy, which explains how we handle your information.

1. Who can use KaraoClip

You must be 18 years of age or older to create an account or organize a greeting on KaraoClip. By using the service, you confirm that you meet this requirement and that the information you give us is accurate.

If a participant you invite is a minor, you are responsible for the requirements described in Section 8 (Children and consent).

2. Your account

Organizers sign in to KaraoClip using Google Sign-In. You are responsible for keeping access to your account secure and for activity that happens under your account. If you believe your account has been accessed without your permission, contact us at support@karaoclip.com.

3. How KaraoClip works — roles and authority

KaraoClip greetings involve different people with different roles. It is important to understand who can do what.

The organizer creates a greeting. The organizer:

• sets the occasion, recipient, and greeting details
• invites participants and can remove or replace them
• decides who receives the finished greeting
• can delete the greeting

The organizer is the person in control of a greeting.

A participant is invited by an organizer to record a greeting. A participant:

• owns their own recording (see Section 4)
• can request removal of their own recording
• cannot see or hear other participants' recordings before the reveal
• cannot delete or control the overall greeting

A recipient or viewer receives and watches a finished greeting. They have no editing or control rights over the greeting.

This structure exists to protect the surprise at the heart of KaraoClip: no participant sees another participant's recording before the finished greeting is revealed.

Greetings are private. They are shared only with the participants and recipients the organizer chooses, and are not posted to any public feed or made publicly searchable.

4. Your content and the rights you give us

You keep ownership of the content you upload — your videos, audio recordings, photos, and messages.

To operate the service, you give KaraoClip a limited, worldwide, non-exclusive license to store, process, render, synchronize, compile, and stream your content solely to provide the service to you — for example, to combine recordings into a finished greeting and deliver it to the people you choose. This license ends when you delete the content or close your account, except for copies we are required to keep by law or that remain temporarily in routine backups.

We do not claim ownership of your content, and we do not use it for advertising.

5. Acceptable use — what you may not upload

You are responsible for the content you upload and for the content of participants you invite. You agree not to upload, create, or share content that:

• infringes the copyrights, trademarks, publicity rights, privacy rights, or other rights of any third party
• is unlawful, defamatory, harassing, abusive, hateful, or threatening
• is obscene, or sexualizes, exploits, or endangers a minor
• impersonates another person or misrepresents your identity
• is spam, or involves fake or unwanted invitations
• contains malware or attempts to interfere with the service

You also agree not to misuse the service — for example, by attempting to access other users' recordings, bypass security, or scrape or copy the platform.

6. Copyright and intellectual property

You may only upload content that you own or have the necessary rights to use, including any music, lyrics, images, or recordings of other people.

If you believe content on KaraoClip infringes your rights, you can report it to us at support@karaoclip.com. Our full process for copyright complaints, takedowns, and counter-notices is described in our Copyright Policy. We respond to valid reports, may remove infringing content, and may suspend or terminate accounts that repeatedly infringe.

7. Music and licensed content

KaraoClip may include backing tracks, music, and other assets in your greeting. These assets may be owned by KaraoClip or licensed from third-party providers.

• Using KaraoClip's music in your greeting does not transfer any ownership of that music to you.
• You receive a limited right to use the music only as part of a greeting created within KaraoClip.
• Our music catalog may change over time. Tracks may be added, removed, replaced, or become unavailable — including for specific regions — without notice and without any obligation to compensate you.

8. Children and consent

You must be 18 or older to hold an account. KaraoClip is, however, commonly used for occasions that involve children.

If you invite a participant who is a minor, you are responsible for obtaining consent from that minor's parent or legal guardian before sharing a recording link with them. By uploading content that includes a minor, you confirm that you are authorized to do so and have the necessary parental or guardian consent.

We may remove content involving minors where we believe proper consent was not obtained, or where it is necessary for safety or legal reasons.

9. Downloading and sharing greetings

You may be able to download or share your finished greeting outside KaraoClip.

If you do, you are responsible for how that content is used once it leaves the platform. Downloaded or externally shared videos — including any music or other content within them — may remain subject to third-party rights and to the rules of other platforms. You agree to comply with applicable copyright and platform rules when sharing greetings externally. Some greetings or music-enabled features may not be available for download or external sharing in all regions.

10. Content moderation and enforcement

To keep KaraoClip safe and lawful, we may — at our discretion and without prior notice — review, restrict, remove, or disable content; disable specific music tracks; limit downloads or sharing; restrict availability in certain regions; and suspend or terminate accounts that violate these Terms or create safety or legal risks.

We may, but are not required to, review content for compliance and safety purposes, and we are not liable for actions taken in good faith to enforce these Terms or protect users.

11. Paid features

Core KaraoClip features are currently available at no cost. We may introduce paid features in the future. If we do, the applicable prices, billing terms, and conditions will be presented to you before you make any purchase.

12. Service availability and changes

We work to keep KaraoClip reliable, but we cannot guarantee that it will always be available, uninterrupted, or error-free. We may add, change, suspend, or discontinue features at any time.

The service is provided on an “as is” and “as available” basis. To the extent permitted by law, we make no warranties beyond those required by applicable law.

While we work hard to keep your recordings and greetings safe, we cannot guarantee that content will be permanently stored, or that lost or corrupted content can be recovered. We encourage you to keep your own copy of any greeting that is important to you.

13. Limitation of liability

To the fullest extent permitted by law, KaraoClip will not be liable for indirect, incidental, or consequential damages, or for loss of content, arising from your use of the service. Nothing in these Terms limits any rights you have under mandatory applicable law.

14. Your responsibility

Because you control the content you and your participants upload, you are responsible for that content and for your use of the service, including ensuring you have the rights and consents described in these Terms.

If a third party brings a claim against KaraoClip because of content you uploaded, or because you did not follow these Terms, you agree to cover the reasonable costs, losses, and damages KaraoClip incurs as a result of that claim.

15. Suspension and termination

You may stop using KaraoClip and close your account at any time. We may suspend or terminate access to the service if you violate these Terms or create risk for other users or for KaraoClip. Sections of these Terms that by their nature should survive termination — such as content rights, disclaimers, and limitation of liability — will continue to apply.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Continued use of KaraoClip after changes take effect means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales will have jurisdiction over any dispute relating to these Terms or to KaraoClip, except where mandatory local law gives you the right to bring a claim elsewhere.

18. General

If KaraoClip does not immediately enforce a provision of these Terms, that does not mean we give up the right to enforce it later.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
